Agreeing to These Terms
By accessing any part of our websites, or by becoming a guest, student, participant, member, or faculty member of Influence Ecology, you are agreeing to these Terms of Use. You are also confirming that you are at least 18 years old and legally authorized to enter this agreement.
If you do not agree to these terms, you may not use our sites or services.
We may update these Terms at any time without direct notice to you. It is your responsibility to check for changes. Continuing to use our sites after changes are published means you accept the updated terms. If you disagree with any changes, please stop using the sites.
Our Intellectual Property
Copyright
All content on our sites — including text, design, software, audio, and other materials — is owned by Influence Ecology or the authors and contributors who created it. It is protected by U.S. and international copyright law. You may not copy, modify, reverse engineer, or create derivative works from our software or content without our written permission.
Trademarks
You may not use or reproduce any of our trademarks — including the Influence Ecology® name and logo — for any purpose without our written permission.

Your notice must meet the requirements of the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe a notice was wrongly filed against you, you may send a counter-notice. Consult a legal advisor before filing either. False claims carry penalties under the DMCA.
How You May Use Our Content
Your License
We grant you a limited, personal, non-transferable, non-exclusive license to use our content for your own personal, non-commercial purposes — for example, viewing it on screen, printing it for personal use, or storing it on your own device. You may also share copies with other active members of the Influence Ecology community.
You may not:
- Reproduce, modify, or commercially exploit any content
- Store or transmit content to any other website, server, or network without our consent
- Create derivative works from our content without written permission
- Remove any copyright or trademark notices
- Collect account information on behalf of another party
- Use hidden meta tags or other techniques that include our trademarks without consent

Content You Submit
You Keep Ownership — But Grant Us a Broad License
You retain ownership of any content, ideas, comments, or materials you submit to our sites ("User Submissions"). However, by submitting anything, you grant Influence Ecology a perpetual, worldwide, royalty-free, unlimited license to reproduce, publish, distribute, modify, adapt, translate, and commercially use your submission in any medium — without any obligation to compensate you or credit you.
This license survives even if your membership ends or you later delete your submission. You agree not to bring any claim against us for our use of your User Submissions.
What You're Confirming When You Submit
By submitting content, you confirm that:
- You understand and agree to these Terms, including the license you're granting us
- Your submission is your own original work, and our use of it won't infringe anyone else's rights
- We don't pre-screen submissions — you are solely responsible for your content and any consequences of posting it
- We are not responsible for how other users respond to or use your submissions
- We have no obligation to use or display your submission and owe you no compensation for it
- We are not obligated to explain any decision to remove or keep a submission
- Your submission is entirely voluntary
- We may already be developing similar content independently
- You release all claims against us related to how we use your submission
- We may monitor, alter, or remove any submission and may disclose it to third parties or authorities as needed
Prohibited Submissions
You may not submit content that:
- Is unlawful, obscene, hateful, defamatory, threatening, fraudulent, harassing, or sexually explicit
- Encourages criminal conduct or could give rise to civil liability
- Targets or intimidates individuals based on age, disability, ethnicity, gender, race, religion, or sexual orientation
- Contains non-public or insider information about companies
- Includes third-party copyrighted material without permission
- Is unsolicited advertising, a pyramid scheme, or an investment solicitation
- Is intended to affect the price or value of any security
- Disguises or misrepresents its origin
- Impersonates any person or entity
- Contains viruses, malware, or other harmful code
- Collects other users' personal information
- Restricts other users from accessing the sites
- Infringes any patent, trademark, trade secret, copyright, privacy, or publicity right
- Constitutes spam or unsolicited bulk communication
- Is not intended for all recipients who can see it
- Violates any local, state, federal, or international law
- Discloses confidential or private information about others without authorization
We reserve the right to review, edit, and remove any User Submission to ensure compliance with these Terms. We are not responsible for the opinions or content posted by users, and we do not endorse any User Submission.
Online Communities
Our sites may include discussion groups, blogs, chats, and similar community spaces. We don't control or monitor everything posted there, but we reserve the right — at our sole discretion, without notice — to delete, move, or edit any User Submission and to terminate your access to these spaces if you violate these Terms.
Some community areas have their own guidelines in addition to these Terms. By participating in any community, you agree to indemnify us from any claims arising from your posts. The opinions expressed in community spaces are those of the individual participants, not Influence Ecology.
Third-Party Transactions
If you purchase products or services through a third-party partner linked from our sites, your contract is with that third party — not with us. We have no responsibility or liability for those products, services, or transactions. Descriptions or images of third-party offerings on our sites are not endorsements.
Termination of Access
We may suspend or terminate your access to our sites at any time, for any reason, without notice. If you choose to terminate your account, we are not obligated to refund any fees paid, except where required by law.
Changes to the Sites
We may change, suspend, add to, or remove content from our sites at any time without liability.
Your Account Security
If you have a member account, you are responsible for keeping your username, password, and other login credentials confidential. Your account is for your individual use only — you may not share your login with others or allow multiple users to access the sites under a single account.
You are responsible for all activity that occurs under your account, whether or not authorized by you. Notify us immediately if you suspect unauthorized access. We may monitor account activity and suspend access without notice if we believe you are in violation of these Terms.
Confidentiality
All members who access restricted areas of our sites agree to abide by Influence Ecology's Confidentiality Pledge and Standards.
Privacy
Your personal information is handled in accordance with our Privacy Policy.
International Use
Our sites are accessible worldwide, but we make no representation that our content is appropriate or available outside the United States. If you access our sites from another country, you do so at your own risk and are responsible for complying with local laws. Any product or service offer is void where prohibited.
No Warranty
Our sites and all content are provided "as is" and "as available" — without any warranty of any kind, express or implied. We do not guarantee accuracy, reliability, or completeness. We do not warrant that our sites will be uninterrupted, error-free, or free from viruses. We disclaim all warranties, including those of fitness for a particular purpose, merchantability, title, and non-infringement. You use our sites at your own risk.
Limits on Our Liability
We are not responsible for:
- Access delays or interruptions
- Data loss, corruption, or failed delivery
- Damages arising from links to third-party sites
- Viruses or system failures connected to your use of our sites
- Decisions you make based on content found on our sites
- Events beyond our reasonable control
If you are harmed by another user's submission, your remedy is against that user — not us. Our role is limited to removing the offending content upon notice.
In any case, our total liability to you for any claim — whether in contract, tort, or otherwise — is capped at the amount you paid us in the six months before the claim arose for the specific service to which the claim relates.
We are not liable for any indirect, special, incidental, or consequential damages — including lost profits, business interruption, or data loss — even if we have been advised that such damages were possible.
Your Indemnification Obligation
You agree to defend and hold harmless Influence Ecology, its affiliates, licensees, employees, agents, officers, directors, and contractors from any losses, claims, judgments, and legal fees resulting from:
- Your breach of these Terms
- Your use of content outside what these Terms permit
- Your use of automated data extraction tools
- Third-party claims arising from your use of our sites or content
Events Beyond Our Control
We are not liable for delays or failures caused by circumstances beyond our reasonable control — including equipment failure, internet outages, computer viruses, unauthorized access, severe weather, natural disasters, labor disputes, war, terrorism, or government restrictions.
Changes to These Terms
We may update these Terms at any time. Changes take effect when published. If you continue using the sites after a change, you are accepting the new terms. Additional terms may apply to specific areas of the sites.
Third-Party Content and Linked Sites
Our sites may contain third-party content or links to external websites we do not control. Any transactions you enter into with advertisers or third parties are solely between you and them — we are not responsible for any loss or damage arising from those dealings. We are not responsible for the content or availability of any third-party websites.
No Waiver
If we fail to enforce any provision of these Terms at any time, that does not waive our right to enforce it later.

We may send notices to you at the email address on your account, or via broadcasts posted to our sites. Notices are considered delivered on the date delivered personally, two business days after overnight courier deposit, five business days after U.S. mail posting, or on the date of confirmed fax or email transmission.

Severability and Statute of Limitations
If any provision of these Terms is found to be invalid or unenforceable, the rest of the Terms remain in effect. Any legal claim you have against us must be filed in a court of competent jurisdiction in Los Angeles, California within one year of when the cause of action arose — or it is permanently waived.
Entire Agreement
These Terms of Use, together with any written contracts you have with Influence Ecology and their associated amendments and exhibits, constitute the entire agreement between us regarding the sites and services, and supersede all prior agreements or understandings.
Headings
Section headings in these Terms are for ease of reading only and have no legal effect.
No Agency or Employment Relationship
Using our sites does not create any agency, partnership, joint venture, or employment relationship between you and Influence Ecology.
Export Controls
You must comply with all applicable U.S. export laws and restrictions, including those of the Department of Commerce and the Treasury's Office of Foreign Assets Control. By downloading or using our content, you confirm that you are not located in, or a national of, any country subject to U.S. export restrictions, and that you are not on any restricted persons list.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes must be brought before the courts of Los Angeles, California, which have exclusive jurisdiction — except that Influence Ecology retains the right to bring proceedings in the courts of your country of residence or principal place of business. Any claim you have in connection with our sites or services must be filed within one year of when it arose, or it is permanently barred.
